Terms of Use

The Investor Data Room (the “Data Room”, the “Service”) at dataroom.mattsiddell.com is operated by Qandor L.L.C-FZ, a limited liability company registered in the Meydan Free Zone, Dubai, United Arab Emirates, with registered address Business Center 1, M Floor, The Meydan Hotel, Nad Al Sheba, Dubai, U.A.E., formation number 2307756, trading as Matt Siddell Real Estate Advisors (“we”, “us”, “our”, or “I” when Matt Siddell is speaking directly to you in the Service itself).

Real estate brokerage services referenced in or arranged through the Data Room are provided under eXp Real Estate (Br of eXp International Holdings Inc) (Dubai Branch), trade licence number 1103757, registered with the Dubai Real Estate Regulatory Agency (RERA) under registration number 31998, for the activities of leasing property brokerage and real estate buying and selling brokerage. Matt Siddell (Matthew Lee Siddell) holds RERA broker card number 85512 under that office.

These Terms of Use (“Terms”) govern your access to and use of the Data Room, including its website, gated video library, downloadable materials, calculators, and any related communications. By registering for or using the Data Room you agree to these Terms. If you do not agree, do not register or use the Service.

1. You must be at least 18 years old and have the legal capacity to enter into these Terms.
2. The Data Room is built for qualified investors (indicatively, an investment capacity from AED 5,000,000 upward). Registering only creates a basic account; full access to chapters, modules, and project materials is granted only after you complete the qualification form and Matt Siddell personally reviews and approves your application.
3. Access is granted at our sole discretion. We may decline, delay, suspend, or revoke access to any applicant or investor at any time, with or without reason, including where we are unable to complete identity or source-of-funds checks (see Section 9).
4. Your login credentials (email and password) are personal to you. You are responsible for keeping them confidential and for all activity on your account. Tell us immediately at matt@mattsiddell.com if you suspect unauthorised access.

The Data Room is a private, gated information and education platform covering the Abu Dhabi and Dubai off-plan real estate market, Matt Siddell's own analysis, and the specific projects he chooses to feature. It is intended to help you make faster, better-informed decisions before you and Matt Siddell discuss any actual transaction directly.

Nothing in the Data Room is, or should be treated as, financial, investment, tax, legal, or immigration advice, and nothing in it is an offer, solicitation, or recommendation to buy, sell, or invest in any specific unit, project, or security. Figures, availability, pricing, payment plans, and launch dates shown are indicative, sourced and dated as stated, and subject to change by the developer without notice. You should verify all figures independently and take your own independent financial, tax, and legal advice before making any investment decision. Formal marketing and advertising of specific off-plan launches is carried out separately, under the applicable RERA/Dubai Land Department advertising permit for that launch.

Access to the Data Room does not create a brokerage, advisory, fiduciary, or agency relationship between you and us. That relationship, if any, is established separately and directly with Matt Siddell and, where applicable, eXp Real Estate (Dubai Branch), under its own terms of engagement.

Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable licence to view, download, and print Data Room content solely for your own investment research. You may not:

1. Share, resell, sublicense, publish, or redistribute your login credentials or any Data Room content (video, notes, transcripts, slide decks, templates, or downloads) to any third party, including other prospective investors;
2. Record, screen-capture, or reproduce Data Room video content for distribution;
3. Use any content to build a competing product or service, or for any commercial purpose other than your own investment decision-making;
4. Attempt to circumvent access controls, scrape the Service, or reverse-engineer any part of it.

All content in the Data Room (video recordings, slide decks, written notes, market research, calculators, templates, and the “Matt Siddell Real Estate Advisors” name, logo, and brand assets) is owned by us or licensed to us, and is protected by copyright and other intellectual property laws. Nothing in these Terms transfers any ownership of that content or our brand to you.

The candour of the Data Room is the point: Matt Siddell shares views, numbers, and developer assessments here that are not made public elsewhere. In exchange for that access, you agree to keep the content, and the fact of anything discussed with you individually, confidential, and not to disclose it to any person who is not themselves an approved Data Room investor, except to your own professional advisers on a need-to-know basis.

Access to the Data Room itself is provided free of charge to approved investors. Real estate brokerage services arranged through Matt Siddell or eXp Real Estate (Dubai Branch) are subject to their own, separately agreed commission and fee terms, which are not set out in these Terms.

The Data Room may reference or link to third-party websites, developers, or service providers. We do not control and are not responsible for third-party content, products, or services, and inclusion of a reference is not an endorsement or guarantee.

To the fullest extent permitted by UAE law, the Data Room and its content are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including as to accuracy, completeness, or fitness for a particular purpose. Real estate markets, pricing, and launch timing change, and we do not guarantee that any figure, availability, or forecast shown will hold.

To the fullest extent permitted by law, we are not liable for any indirect, incidental, consequential, or special loss (including loss of profit or investment loss) arising from your use of, or reliance on, the Data Room, except to the extent that loss arises from our fraud, wilful misconduct, or gross negligence, or cannot be excluded under mandatory UAE law.

As a UAE-regulated real estate brokerage activity, we may be required under UAE anti-money laundering and counter-terrorist financing law (including Federal Decree-Law No. 20 of 2018, as amended, and its Cabinet Resolutions) to verify your identity, the source of your funds, and, where applicable, your beneficial ownership before or during any transaction, and to retain related records for the period required by law. We may request identification documents, proof of funds, or other information from you for this purpose, and may decline or delay access or any transaction if you do not provide it or if a check does not clear to our satisfaction.

We may suspend or terminate your access to the Data Room at any time, including for breach of these Terms, misuse of content, failure to complete required checks, or if you are no longer an active or prospective investor. You may stop using the Service and request account closure at any time by emailing matt@mattsiddell.com. Sections 4, 5, 8, 9, 12, and 13 survive termination.

We may update these Terms from time to time, for example as the Data Room's content or platform evolves. We will post the updated Terms with a new effective date, and material changes will be flagged to active investors by email. Continued use of the Service after a change takes effect means you accept the updated Terms.

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The onshore courts of Dubai have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Data Room, save that we may seek injunctive relief in any competent court to protect our intellectual property or confidential information.
